Internet Minimum Advertised Price (iMAP) Policy and Sales Terms &  Conditions 

For the entire Safer Medical of MT, Inc. Product Line

As a condition of being an authorized wholesaler of Safer Medical of MT, Inc. products, strict  adherence to the following terms and conditions is required. Failure to comply will result in  immediate termination of wholesale authorization for all Safer Medical of MT, Inc. products. 

1. iMAP Policy Overview 

Safer Medical of MT, Inc. has established a mandatory Internet Minimum Advertised Price (iMAP)  policy for its full line of products. This policy governs all online and digital advertisements for these  products. 

Scope: The iMAP policy applies to all online and digital platforms, including, but not limited to: 

  • Websites 
  • E-commerce shopping carts 
  • Online ads 
  • Email marketing (e.g., eBlasts) 
  • Online publications (newspapers, magazines, catalogs, flyers, etc.) 
  • Digital coupons or mailers 

Definition: An "online location" refers to any virtual platform through which end-users may purchase  Safer Medical of MT, Inc. products. 

2. Prohibited Third-Party Platforms 

Under no circumstances may a wholesaler sell Safer Medical of MT, Inc. products on third-party  marketplaces without written consent from Safer Medical of MT, including but not limited to: 

  • Amazon 
  • eBay 
  • Walmart 
  • Jet 
  • Any other unauthorized resale platform 

Violation of this restriction will result in immediate termination of wholesale privileges. 

3. Enforcement of iMAP Policy 

Any violation of this policy constitutes grounds for the immediate and permanent revocation of  wholesaler status. Upon discovery of a violation, Safer Medical of MT, Inc. will issue a formal cease and-desist notice, and the wholesaler must immediately discontinue all non-compliant activities. 

Safer Medical of MT, Inc. reserves the right to monitor advertised prices through online tools, manual  audits, and third-party services. Any violations discovered may result in immediate corrective action,  up to and including termination of the wholesale relationship. 

4. Business Name Disclosure Requirements 

Wholesalers are required to disclose the following: 

  • All business names and DBAs (Doing Business As) under which they operate or control.
  • No multiple wholesale accounts are permitted under different business names controlled by the same parent company or individual. 
  • All orders must be submitted under the primary, approved business entity. 

5. MSRP and iMAP Policy Changes 

Safer Medical of MT, Inc. reserves the right to modify the Manufacturer’s Suggested Retail Price  (MSRP) and iMAP pricing structure at its sole discretion. 

  • Wholesalers will be notified of any changes via email, fax, or formal letter. 
  • Adjustments to MSRP or iMAP will take effect within seven (7) days of notification. • All wholesalers must implement these pricing changes within thirty (30) days of receipt unless  otherwise specified. 

From time to time, the manufacturer may temporarily suspend or modify iMAP pricing during  promotional periods or product reformulations. Wholesalers will be notified in writing of any such  changes in advance. 

6. Annual Minimum Purchase Requirement 

To maintain active wholesaler status, the following purchase threshold applies: 

  • A minimum annual purchase of $1,500 USD is required within a single calendar year. 
  • Accounts that fail to meet this threshold will be disabled without further notice. 

7. Resale Policy and Authorized Channels 

Wholesalers are authorized to sell Safer Medical products only through approved websites or retail  channels. Any new platforms must receive prior written approval from Safer Medical of MT, Inc.  before listing or advertising products for sale. 

8. iMAP Violation Penalties 

Violations of the iMAP policy will be addressed as follows: 

  • First offense: Written warning with 48 hours to comply. 
  • Second offense: Temporary suspension of wholesale account. 
  • Third offense: Permanent revocation of wholesale privileges. 

9. Inventory Tracking and Record-Keeping 

Wholesalers agree to maintain accurate records of inventory and product sales. Safer Medical of MT,  Inc. may request access to these records for audit purposes upon reasonable notice. 

10. Product Bundling and Discounting 

Advertising Safer Medical of MT, Inc. products with additional products or services in a manner that  reduces the advertised price below the stated iMAP is prohibited. This includes ‘Buy One Get One’  promotions or unauthorized bundling. 

11. Agreement Confirmation 

By maintaining an active wholesale account, the wholesaler acknowledges and agrees to the terms of  this iMAP Policy. A signed agreement may be required to confirm understanding and compliance.
